Terms of Service
These terms govern use of the ev‑motive.co.uk website and set out the general conditions under which EVMOTIVE LTD ("EV Motive", "we", "us", "our") provides engineering services. Specific engagements are always subject to a separate written agreement, which takes precedence over these terms in the event of conflict.
1. Company information
EVMOTIVE LTD is a private limited company incorporated in England and Wales under company number 14131689. Our registered office is Keal & Associates, Unit 8H Millars Brook, Molly Millars Lane, Wokingham, Berkshire, RG41 2AD, United Kingdom.
2. Website use
The content of this website is provided for general information purposes only. While we endeavour to keep information accurate and current, we make no warranties, express or implied, about its completeness, accuracy, reliability, or suitability for any purpose. Any reliance you place on the information on this website is at your own risk.
You may view, download, and print material from this website for your personal, non‑commercial reference. Commercial reproduction, redistribution, or incorporation of this website's content into other products or services requires our prior written consent.
3. Engagements and services
All engineering services are provided subject to a separate written statement of work, proposal, master services agreement, or equivalent document (a "Services Agreement") signed by both parties. A Services Agreement will set out the scope of work, deliverables, timetable, fees, and any project‑specific terms.
Unless expressly agreed in the applicable Services Agreement, all services are provided on a "best‑endeavours" basis using reasonable skill and care consistent with industry standards for senior automotive engineering practice.
4. Intellectual property
Unless otherwise agreed in writing, intellectual property rights in bespoke deliverables produced specifically for a client under a Services Agreement transfer to that client on full payment of fees due. We retain rights in all background intellectual property, tools, methods, templates, and generally applicable know‑how developed independently or prior to the engagement, together with any improvements made to such background IP during the engagement.
5. Confidentiality
We treat all client information received in the course of an engagement as confidential, and will not disclose it to any third party except as required to deliver the services, to comply with law, or with the client's consent. Confidentiality obligations survive termination of any engagement for a period of five years, or such longer period as is specified in the applicable Services Agreement.
6. Limitation of liability
Nothing in these terms limits or excludes our liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any other liability that cannot be excluded or limited under applicable law.
Subject to the above, our total aggregate liability to a client in respect of any engagement, whether in contract, tort (including negligence), misrepresentation, restitution, or otherwise, is limited to the fees paid under the applicable Services Agreement in the twelve months preceding the event giving rise to the claim, or £250,000, whichever is lower. We shall not be liable for any indirect, consequential, or special loss, including loss of profit, revenue, goodwill, or business opportunity, howsoever arising.
7. Insurance
We maintain professional indemnity and public liability insurance appropriate to the nature of our engagements. Details of current cover are available on request from prospective or existing clients.
8. Governing law and jurisdiction
These terms, any Services Agreement, and any non‑contractual obligations arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from or in connection with the use of this website or the provision of our services.
9. Changes to these terms
We may update these terms from time to time. The current version and its effective date are shown at the top of this page. Terms in effect at the time a Services Agreement is executed apply to that engagement.
